Apple's $600 million acquisition of Dialog part of the business

In recent years, Apple has been committed to the independent research and development of chips. On the 11th, Apple and German chip supplier Dialog Semiconductor announced that the two companies have reached a $600 million deal.
Apple's self-sufficiency in the chip is very heavy. After abandoning Imagination, the GPU of the A-series chip has completed its own research. From the dismantling of this generation of iPhone XS, power management ICs have also used their own products.
Previously, Apple's power ICs were mostly from Dialog, which claimed to be the world's largest manufacturer of power management chips, mainly for smartphones and IoT devices. In the first half of this year, the news of Apple's self-developed power IC hit its stock price, and the profit of Q1 earnings was also crazy.
The madness slipped.
Under the agreement, Apple will pay $300 million to acquire some of Dialog's assets, including 300 R&D engineers and regional offices in the UK, Italy and Germany, while another $300 million is for Apple to purchase Dialog for the next three years. Advance payment for products, package
Development and supply of power management, audio subsystems, charging and other mixed-signal ICs.
Dialog CEO Jalal Bagherli said in a statement: "This transaction reaffirms our long-term relationship with Apple and demonstrates the value of the powerful business and technology that Dialog has built."
Johny Srouji, senior vice president of hardware technology at Apple, also expressed his expectation that the two companies will continue to maintain long-term cooperation: "Dialog has deep expertise in chip development, and we are very happy to attract this talented team of engineers. since
They are all supporting our products, and now they work directly for Apple. Our relationship with Dialog can be traced back to the early iPhone, and we look forward to maintaining a long-lasting relationship with them. ”
In addition, Dialog expects that after the completion of the transaction, orders from Apple will account for 35 to 40% of its total revenue in 2022. This is a decrease from the 75% of this year, and the number of employees will drop to 1,800.
At the same time, the chip maker also said that it will start repurchasing 10% of its shares after the next quarter's trading update. Reuters quoted analysts as saying that the $600 million windfall will increase Dialog's net cash position by $525 million.
Since the launch of the first-generation iPhone a decade ago, Apple has used the Dialog Power Management Chip (PMIC) to help its devices manage battery life.
Therefore, Apple is also the largest customer of Dialog. In 2016, Dialog's annual revenue was about 1.19 billion US dollars. The total order from Apple accounted for more than 70%, and in 2015 it was as high as 79%.
However, today's Apple has begun to develop its own chips, from CPU to GPU, in order to reduce its dependence on its suppliers, and many partners have been abandoned.
"Nikkei News" reported last year that the iPhone will be replaced by Apple's self-developed power management chip from 2018, and will be developed and produced by TSMC to replace the original supplier Dialog.
However, Dialog said that it is expected that between 2019 and 2020, a large part of the equipment will continue to try Dialog chips.
But in June, Dialog also announced that Apple plans to add two power management chip suppliers to one of the three new iPhone models, changing the past supply by Dialog.
At that time, Dialog had mentioned in the statement that Apple’s move meant that Dialog’s orders from Apple this year would be 30% lower than expected.
